Terms of Service – User Agreement for ShopX

1. Introduction

Welcome to ShopX. By accessing or using our website, services, or applications, you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using ShopX.

These Terms constitute a legally binding agreement between you and ShopX Technologies Ltd. regarding your use of the ShopX platform and services. If you do not agree with these Terms, you may not use our services.

2. Accounts & Eligibility

To use ShopX services, you must be at least 18 years old or the legal age of majority in your jurisdiction, whichever is greater. You must provide accurate and complete information when creating an account.

You are responsible for maintaining the security of your account and password. ShopX cannot and will not be liable for any loss or damage resulting from your failure to comply with this security obligation.

Business entities may only register for ShopX through their authorized representatives. You represent and warrant that you have the authority to bind the business entity to these Terms.

3. Services Provided

ShopX provides an eCommerce platform that allows merchants to create, manage, and operate online stores. Our services include store hosting, product management, payment processing integration, and other related tools and features.

Certain features or services may be subject to additional terms and conditions, which will be presented to you when you access those features.

We may use third-party services to facilitate the provision of our services. Your use of such third-party services may be subject to separate terms and conditions provided by those third parties.

4. Fees & Payments

You agree to pay all applicable fees for the services you select as described on our Pricing page. All fees are quoted in Bangladeshi Taka (BDT) unless otherwise specified.

Subscription fees are billed in advance on either a monthly or annual basis, depending on the billing cycle you select. If you don't pay on time or if your payment method fails, we may suspend or terminate your access to the services.

You may cancel your subscription at any time, but refunds are only provided in accordance with our Refund Policy. We reserve the right to change our prices upon notice.

5. Merchant Responsibilities

You are solely responsible for your store, its content, and your interactions with customers. You must comply with all applicable laws and regulations, including those related to online commerce, taxes, consumer protection, and data privacy.

You may not use ShopX to sell illegal or prohibited items. You may not use ShopX for any purpose that is unlawful or prohibited by these Terms.

You retain all ownership rights to your content. By uploading content to ShopX, you grant us a worldwide, non-exclusive license to host and display that content solely for the purpose of providing the services to you.

6. ShopX Rights

We reserve the right to modify, suspend, or discontinue the services (or any part thereof) at any time, with or without notice.

We retain all intellectual property rights in the ShopX platform, including any associated logos, trademarks, service marks, and other proprietary information.

We reserve the right to terminate or suspend your account immediately, without prior notice, for any breach of these Terms.

7. Liability Limitations

ShopX is provided "as is" without warranties of any kind, either express or implied. We do not guarantee continuous, uninterrupted, or secure access to our services.

In no event shall ShopX be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to your use of our services.

Our total liability for any claims under these Terms, including for any implied warranties, is limited to the amount you paid us to use the services during the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless ShopX and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your violation of these Terms
Your use of the ShopX services
Your content
Your violation of any laws or the rights of a third party

9. Modifications to Terms

We may modify these Terms at any time. We will provide notice of significant changes through our website or by sending you an email. Your continued use of ShopX after such notice constitutes your acceptance of the modified Terms.

Disputes arising from these Terms shall be governed by the laws of Bangladesh, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Dhaka, Bangladesh.
